Terms of Sale and License

Last updated: October 17, 2026

These Terms govern your purchase and use of products from gridwelldigital.com (the "Site"). The Site is operated by SKB Operations LLC, an Illinois limited liability company doing business as Gridwell Digital ("Gridwell," "we," "us"). By placing an order or downloading a product, you agree to these Terms.

1. What you are buying. Our products are digital spreadsheet workbooks (.xlsx files), companion PDF guides, and related materials ("Products"). You receive a license to use the Product, not ownership of it. We keep all rights, title and interest in the Products, including the formulas, layouts, designs, text, charts, sample data, guides and branding.

2. Your license. When you pay, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the Product for your own personal use or for the internal operations of one business. You may make copies for your own backup, and use the Product on your own devices and with your own accounts (including uploading it to your own Google Drive or similar for your own use).

3. What you may not do. Unless we agree in writing, you may not:

You may edit the Product for your own use, but modified versions remain subject to these Terms.

4. Business use. A single purchase covers one individual or one business entity. Use by additional team members within that business is allowed for its internal operations. Use for other people's or other companies' benefit, such as consulting or client deliverables, needs a commercial license. Contact us at hello@gridwelldigital.com.

5. Enforcement. If we find a Product or copy being shared, sold or distributed in breach of these Terms, we may immediately end your license without refund, disable your download access, report the listing to the platform hosting it (including by DMCA takedown notice), and pursue every remedy available under law, including recovery of damages, profits and reasonable attorneys' fees. You agree that unauthorized distribution would cause us irreparable harm for which money alone is not an adequate remedy, and that we may seek an injunction without posting a bond to the extent the law allows. Orders and download activity may be logged to help us detect unauthorized sharing.

6. Downloads and access. After payment you will be sent download links (and shown them on the confirmation page). Links are personal to you and expire. You are responsible for saving your files. If you lose them, contact us and we will re-issue links for a reasonable period.

7. Compatibility. Products are built and tested for Microsoft Excel (2016 or later) and Google Sheets. They may behave differently in other spreadsheet apps such as Numbers and LibreOffice, and mobile versions of Excel and Google Sheets may not support every feature. Compatibility with any other app is not guaranteed.

8. Prices and payment. Prices are in US dollars and may change at any time; the price shown at checkout when you order applies. Payments are processed by Stripe; we never see or store your full card number. Applicable sales tax or VAT, if any, is added at checkout. Promotions and discount codes may be limited, cannot be combined unless stated, and may be withdrawn at any time. Unless a promotion says otherwise, a discount code applies to one order of $20 or more before discount, applies only to the item or bundle in that order, has no cash value, cannot be applied to past orders, and expires on the date stated. Codes sent to a subscriber are for that person's own use, are single-use, and may not be sold or shared. Free downloads are provided for your personal use or the internal use of one business under the same license terms and without warranty.

9. Refunds. Because Products are delivered digitally and cannot be returned, all sales are final once the files are delivered or downloaded. By downloading a Product you acknowledge that it was delivered to you. We replace broken or missing files and refund duplicate charges as described in our Refund Policy, which is part of these Terms; other refunds are given only where required by law or by our payment processor. Please contact us at hello@gridwelldigital.com before disputing a charge with your bank.

10. No professional advice. Products are organizing and planning tools for your own information. They are not medical, legal, tax, accounting, investment or financial advice, and do not diagnose or treat any condition. Calculations depend on the information you enter and on assumptions you set; check results before relying on them, and consult a qualified professional for decisions that matter. See our Disclaimers.

11. Disclaimer of warranties. To the fullest extent permitted by law, the Site and Products are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. Sample data in Products is fictional.

12. Limitation of liability. To the fullest extent permitted by law, Gridwell and its owner, members, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or business opportunity, arising from or related to the Site or Products, even if advised of the possibility. Our total liability for any claim is limited to the amount you paid for the Product that gave rise to the claim. Some jurisdictions do not allow certain limits, so these may not apply to you in full.

13. Indemnity. You agree to defend and indemnify Gridwell against claims, losses and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of a Product.

14. Intellectual property and takedowns. If you believe content on the Site infringes your rights, email hello@gridwelldigital.com with enough detail for us to identify and assess it.

15. Custom work. Custom workbooks, website projects and other services are governed by a separate written quote or agreement. If none exists, these Terms apply as far as they fit.

16. Changes. We may update these Terms. The version posted when you buy governs that purchase; continued use of the Site after an update means you accept it.

17. Governing law and disputes. These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. You and Gridwell agree that any dispute will be brought in the state or federal courts located in DuPage County, Illinois (or the U.S. District Court for the Northern District of Illinois), and you consent to that jurisdiction, except that we may seek injunctive relief to protect our intellectual property in any court that has jurisdiction. Before filing a claim, please contact us so we can try to resolve it informally for 30 days.

18. General. If a provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. These Terms, with the Refund Policy and Privacy Policy, are the entire agreement between you and us about the Site and Products. You may not assign your rights; we may assign ours.
